Terms and Conditions

These Terms and Conditions ("Terms") govern your use of Inkshift Inc.'s manuscript-related services, features, and tools, whether free or paid (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. Please read them carefully.

In these Terms:

• "Your Content" means manuscripts and other content you submit to the Service.
• "Service Outputs" means content produced through the Service in response to your requests, including AI-generated critiques, analyses, revision materials, markups, writing-tool outputs, and other results we provide.

These Terms should be read together with our Privacy Policy.

1. Acceptance of Terms & Governing Law

By accessing or using Inkshift, you confirm that you have read, understood, and agree to be bound by these Terms and our separate Privacy Policy, which is incorporated by reference. You also agree to comply with all applicable laws and regulations. If you do not agree with these Terms or the Privacy Policy, please do not use the Service.

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in British Columbia, Canada, for the resolution of any disputes arising out of or relating to these Terms or the Service.

Inkshift Inc. is a federally incorporated company in Canada.

2. Use of the Service (Free and Paid)

Inkshift allows you to upload Your Content to receive Service Outputs. We offer free and paid services and features as described on our website.

Unless you choose or use a feature involving manuscript storage, Your Content is automatically and permanently deleted from our active systems shortly after the requested Service Output is generated. Service Outputs may be saved to your account, subject to the retention practices described in our Privacy Policy.

Some features allow you to store a manuscript optionally for future use, while others may require temporary or ongoing storage to function. Where storage is offered or required, this will be clearly indicated. You may delete a project from your dashboard at any time. Deleting a project removes the associated Service Output and permanently deletes any stored manuscript data for that project.

The features, limits, scope, pricing, and availability of the Service may change from time to time.

3. Payments, Fees, and Refunds

Certain services are offered on a paid basis. Fees for paid services are clearly indicated at the time of purchase and must be paid in full before the Service Output is delivered. Some services may be purchased individually or as credit packs; where credits apply, one credit is used per submission or as otherwise indicated at purchase. All payments are processed securely through our third-party payment processor. By submitting payment information, you authorize Inkshift Inc. to charge the applicable fees for your selected service.

All prices are stated in US dollars (USD) unless otherwise specified, and are non-refundable except as required by law. If you believe you have been charged in error, or are dissatisfied with the Service, please contact us at hello@inkshift.io.

Inkshift Inc. reserves the right to change pricing at any time. Any material changes to pricing will be communicated prior to your next payment or purchase.

4. Accounts, Privacy, and Data

To use the Service, you must sign in via Google or email. By doing so, you authorize us to collect your name and email address as provided for account creation, identification, communication, and support purposes. If you make a payment, we may collect additional information necessary to process your payment and comply with legal obligations.

We use analytics tools, including Google Analytics, to understand how users interact with the platform and improve the Service.

Our collection, use, storage, security, and protection of your personal information (including name, email, payment information, and any data derived from your use of the Service) and Your Content are governed by our Privacy Policy, including data handling practices, use of third-party services, retention periods, and your rights regarding your personal data. Please review it carefully.

5. Content Ownership and Licence Grant

You retain all ownership and intellectual property rights in Your Content.

By submitting Your Content to the Service, you grant Inkshift Inc. a limited, non-exclusive, royalty-free, worldwide licence to store, transmit, retrieve, process, analyze, and compare Your Content solely as necessary to provide the services and Service Outputs you request.

Unless you choose or use a feature involving manuscript storage, this licence ends when the requested Service Output is generated and Your Content is deleted as described in Section 2.

Where manuscript storage is optional and you select it, or where storage is required for a feature and clearly disclosed, the licence includes storing and retrieving Your Content for that purpose. This licence ends when you delete the related project from your account or your account is closed.

Neither Inkshift nor its AI processing providers will use Your Content to train AI models.

As between you and Inkshift, you may use Service Outputs generated for your account for personal or commercial writing purposes, subject to these Terms. Service Outputs are retained in your account in accordance with our Privacy Policy.

Separately, and only with your explicit, opt-in permission, we may ask to use anonymized excerpts of a Service Output (not Your Content) for promotional materials or service improvement examples. We may request this permission at the time of submission or output delivery. You are under no obligation to grant permission, and your use of the Service is not conditional on granting it.

6. User Conduct, Eligibility, and Prohibited Uses

You represent and warrant that you own or have the necessary rights, licences, consents, and permissions to submit Your Content and grant the licence described in Section 5.

You agree not to use the Service to upload, transmit, or process any content that:

• Infringes on any third party's copyright, trademark, patent, trade secret, or other proprietary rights.
• Is defamatory, libelous, obscene, pornographic, offensive, hateful, or inflammatory.
• Is illegal, promotes illegal activity, or violates any applicable local, provincial, national, or international law.
• Contains viruses, malware, or other harmful code.

You must be at least 18 years old, or the age of legal majority in your jurisdiction if older than 18, to create an account and use the Service.

We reserve the right to suspend or terminate your account and access to the Service without notice if you violate these Terms, or for non-payment of required fees for paid services.

7. Disclaimer of Warranties

The Service and Service Outputs are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. Service Outputs may be generated in whole or in part by artificial intelligence and are intended for informational and suggestive purposes only. You are responsible for reviewing and editing Service Outputs before using or submitting them, as they may contain generic, inaccurate, or non-original phrasing.

Inkshift Inc. and its directors, officers, employees, agents, suppliers, or affiliates do not warrant that:

• The Service will function uninterrupted, securely, or be available at any particular time or location.
• Any errors or defects will be corrected.
• Service Outputs will be accurate, complete, reliable, suitable for any particular purpose, or meet your specific requirements.
• The feedback or other results provided will guarantee publication, literary success, or improvement in writing quality.

Your use of Service Outputs and any decisions made based on them are solely at your own discretion and risk.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Inkshift Inc. and its directors, officers, employees, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, manuscript content, or other intangible losses, resulting from: (a) Your access to or use of, or inability to access or use, the Service; (b) Any conduct or content of any third party on the Service; (c) Any content obtained from the Service, including any reliance placed on Service Outputs; (d) Unauthorized access, use, or alteration of your transmissions or content (including Your Content during its processing or storage); (e) Any errors, inaccuracies, or omissions in Service Outputs. This limitation of liability applies whether the alleged liability is based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Inkshift Inc. has been advised of the possibility of such damage. Your use of the Service is entirely at your own risk.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect (e.g., by posting a notice on the Service or sending an email to the address associated with your account). What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
